PROMOTER'S AGREEMENT

 

This Agreement is entered into this ____  day of  _____________,   20__, between Saurel Celestin Events (PROMOTER) and Bruce Wayne Lyttleton d/b/a Milk River (restaurant & Lounge) 960 Atlantic Ave, Brooklyn, NY 11238 (OWNER).

 

WHEREAS

, PROMOTER is experienced in the production, promotion, advertisement and presentation of events for nightclubs/lounges and

WHEREAS

, OWNER is the owner of Milk River (VENUE); and

WHEREAS

, OWNER desires to use PROMOTER's services at the VENUE under the conditions recited herein; and

WHEREAS

, PROMOTER desires to provide his services to OWNER, under the conditions recited herein.

NOW THEREFORE,

in consideration of the mutual covenants herein and other good and valuable consideration, the receipt of which is acknowledged, it is agreed as follows:

 

DURATION:

This agreement shall commence on __________ _____, 20____ and continue until terminated pursuant to the provisions of this Agreement, contained herein.

 

EXCLUSIVITY:

PROMOTER shall have the exclusive right to negotiate, present and promote all events at VENUE related to Haitian Parties / concerts involving Haitian Bands, and within the Kompa and Haitian DJK Music theme and environment. All booking inquiries for the venue related to Haitian Party Events must be negotiated and redirected to promoter Saurel Celestin Events.

 

 

PROMOTER'S DUTIES:

The PROMOTER shall be responsible for all duties and responsibilities required to promote, advertise and present the designated and agreed upon EVENT NIGHTs, that are not the duty of OWNER.

 

Promoter will negotiate Haitian Parties/Events and validate available dates with Venue and set the Fee for any proposed event based on "marketing & success potential" while always taking into account size and capacity of venue.  Once a date is confirmed available, the booking parties / Clients will be required to make a 50% deposit on the FEE / cost of booking the Venue, which will guarantee and lock that date. Promoter will direct booking parties to make deposit directly with Milk River. 

 

Promoter will collect from the booking party / Clients the balance of the venue FEE directly, as his 50% share/revenue. 

 

OWNER's DUTIES:

OWNER shall be required to provide to PROMOTER at the end of the event following 

 - 10% of the net bar proceeds from 0 to $10,000, 15% of net bar proceeds after $12,000 net is made at the bar and 20% of net proceeds after $20, 000 net is made at the bar.

- Promoter will receive 2 bottle tickets, and 2 hookah tickets per Event booked.

 

This agreement contains the entire agreement between the parties, and shall remain valid so long as the promoter accords to all laws under the State Liquor Authority and to all previously mentioned terms and conditions. Upon signing this agreement, the promoter understands and agrees to comply with New York state laws prohibiting the entrance of persons under the age of 21 years to enter the club. The above agreement will be confirmed and executed when signed and dated by both parties. This agreement shall be governed and construed in accordance with the laws of the State of New York, and disputes under this agreement will be submitted to and resolved exclusively by a single arbitrator from the American Arbitration Association in accordance with the Commercial Rules of the American Arbitration Association in effect at the time the proceeding is initiated. Milk River is not liable under this agreement for failure to perform due to any and all situations beyond its control, including but not limited to Acts of God, Terrorism, Fire, or other any other condition preventing Milk River from operating. Other than the terms outlined in this Agreement, Promoter has no other agreements or understandings, written or oral,
